Terms of Service

These Terms of Service ("Terms") govern access to and use of the CareAIFlow marketing website and the CareAIFlow / CareConnect AFH software platform (collectively, the "Services") provided by CareAIFlow ("CareAIFlow," "we," "us," or "our").

By accessing the website, creating an account, accepting an invite, or using the Services, you agree to these Terms. If you are accepting on behalf of an Adult Family Home or other organization, you represent that you have authority to bind that organization.

If you do not agree, do not use the Services. Our Privacy Policy explains how we handle information.

CareAIFlow provides software tools for AFH operations, which may include admissions and forms workflows, resident profiles and documents, care documentation, compliance tracking, facility and staff tools, billing/subscription management, e-signature integrations, communications features, and related modules depending on your plan.

Features available to your organization depend on your subscription plan, configuration, and enabled entitlements. We may update, improve, or discontinue features with reasonable notice when practical.

• You must provide accurate account information and keep credentials confidential.
• Organization administrators are responsible for inviting users, assigning roles/permissions, and promptly removing access when staff leave.
• You are responsible for activity under your organization's accounts.
• We may suspend access for security risks, non-payment, or Terms violations.

You agree that you and your users will:

• Use the Services only for lawful AFH and related operational purposes
• Obtain any consents and authorizations required to enter resident or third-party information into the platform
• Review AI-assisted outputs, generated documents, and extracted data before relying on them for care, compliance, or billing decisions
• Maintain your own clinical, regulatory, and record-keeping obligations under applicable Washington and federal rules
• Not attempt to bypass security, probe the system without authorization, or misuse another organization's data

CareAIFlow is a software tool. It does not replace professional clinical judgment, licensed care decisions, or legal advice.

Paid plans (such as Starter, Professional, and Multi-Home) and any add-ons are described on our pricing materials and in-product subscription screens. Fees, facility allowances, and included modules depend on the plan you select.

• Payments are processed by our third-party payment provider (Stripe).
• Unless otherwise stated in a written order form, subscriptions renew automatically until canceled according to the product controls or your agreement with us.
• Taxes may apply where required. Promotional or annual pricing, if offered, is subject to the terms shown at checkout or in your order.
• Assisted / demo provisioning may be used for onboarding in some cases; paid self-serve checkout may also be available when enabled.

"Customer Content" means data, documents, and materials you or your users upload or enter into the Services. You retain ownership of Customer Content.

You grant CareAIFlow a limited license to host, process, transmit, and display Customer Content solely to provide and secure the Services, including through approved subprocessors.

You represent that you have the rights needed to provide Customer Content to the Services and that doing so does not violate law or third-party rights.

You may not:

• Use the Services for unlawful, harmful, or fraudulent activity
• Upload malware or attempt to disrupt or reverse engineer the Services except as allowed by law
• Resell or provide the Services to third parties except as expressly permitted
• Use the Services to send spam or unlawful communications
• Misrepresent CareAIFlow outputs as certified clinical or legal conclusions

The Services may integrate with third parties (for example payment, email, cloud storage, e-signature, AI/document analysis, or messaging providers). Their terms and privacy practices apply to their services. CareAIFlow is not responsible for third-party services we do not control.

CareAIFlow and its licensors own the Services, software, branding, and documentation (excluding Customer Content). These Terms do not transfer ownership of our intellectual property to you. You receive a limited, non-exclusive, non-transferable right to use the Services during your subscription according to these Terms.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or that AI-assisted results will be complete or accurate. Marketing descriptions of security or compliance posture are not warranties unless expressly stated in a signed agreement.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAREAIFlow AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICES IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO CAREAIFlow FOR THE SERVICES DURING THAT PERIOD (OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE NOT PAID FEES).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent allowed.

You will defend and indemnify CareAIFlow against claims arising from your Customer Content, your misuse of the Services, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.

These Terms apply while you use the Services. You may stop using the Services and cancel according to in-product controls or your order form. We may suspend or terminate access for material breach, unlawful use, security risk, or non-payment.

After termination, your right to access the Services ends. Data export or retention options, if available, will be handled according to product capabilities and any written agreement.

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-law rules, unless a signed customer agreement states otherwise. Courts located in Washington will have exclusive jurisdiction for disputes that are not subject to an alternative dispute process in a signed agreement.

We may update these Terms by posting a revised version on this page and updating the effective date. Continued use after changes become effective constitutes acceptance, except where additional consent is required by law or a signed agreement.
